These terms govern the use of our HR consultancy services. By engaging with Montgomerie Consulting, you agree to comply with all applicable policies, regulations, and legal obligations outlined below. Please read these terms carefully before entering into any service agreement.
We reserve the right to update these terms at any time without prior notice. Any changes will be effective immediately upon publication on our website. Continued use of our services constitutes acceptance of the revised terms.

1. Service Provision and Scope
1.1 Service Agreement
All services are provided subject to a written agreement between the client and Montgomerie Consulting. The scope, deliverables, timelines, and fees will be defined in a Statement of Work or Service Agreement, which forms part of these terms.
1.2 Professional Standards
Services are delivered with reasonable skill and care, in accordance with recognised professional HR standards and best practices. All consultants are suitably qualified and experienced.
1.3 Client Responsibilities
Clients must provide timely access to relevant information, personnel, and resources. Delays caused by lack of cooperation may result in extended timelines or additional fees.
1.4 Advice Limitations
Our guidance does not constitute legal advice unless expressly stated. Clients remain responsible for decisions made based on our recommendations and should seek independent legal counsel where required.
2. Fees and Payment Terms
2.1 Fee Structure
Fees may be charged on a time-based, fixed-fee, or retainer basis as agreed in writing. All fees are exclusive of VAT unless otherwise stated.
2.2 Payment Terms
Invoices are payable within 30 days unless otherwise agreed. Late payments may accrue interest at 4% above the Bank of England base rate.
2.3 Expenses
Reasonable expenses incurred during service delivery will be charged at cost. Expenses exceeding £200 will be agreed in advance where possible.
2.4 Cancellations
Cancellations with less than 48 hours’ notice may incur a fee of up to 50%. Cancellations within 24 hours may be charged in full.
3. Confidentiality and Data Protection
3.1 Confidentiality
All client information is treated as confidential and will not be disclosed without consent, except where required by law.
3.2 Data Protection
Personal data is processed in accordance with UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for details.
3.3 Data Retention
Client data is retained only as long as necessary to meet contractual and legal obligations, typically for a period of seven years.
4. Intellectual Property
Upon full payment, clients receive a non-exclusive licence to use deliverables created specifically for them. All pre-existing materials remain the property of Montgomerie Consulting.
5. Liability and Indemnity
Our total liability shall not exceed the fees paid for the relevant services or £100,000, whichever is lower. We are not liable for indirect or consequential losses.
6. Termination
Either party may terminate services with 30 days’ written notice unless otherwise agreed. Outstanding fees remain payable upon termination.
7. Governing Law
These terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
